    1. The seller and supplier of the goods under your Order is Misha Valenki LLP. Misha Valenki, whose registered office is at 109 Biddulph Mansions, Elgin Avenue, W9 1HU, company number- OC361456. All communications between you and Misha Valenki must be made by contacting enquiries@mishavalenki.com.
    2. For the purposes of these Conditions of Sale and in respect to those terms not otherwise defined herein, the following terms will have the meaning indicated in this section 1.2.
      1. “Contract” and “Contract of Sale”:
        1. refers to the on-line and telephone contract concluded between the you and Misha Valenki through telecommunications instruments, whose content is represented by these Conditions of Sale and whose purpose is the sale of Products by Misha Valenki to you through the Website.
      2. "MISHA":
        1. refers to the owner [and/or the licensee (if sold by a third party Website)] of Misha Valenki Products.
      3. “Product” or “Products”:
        1. refer to all Misha Valenki branded products marketed by Misha Valenki [and/or the licensee (if sold by a third party Website) and illustrated on the Website [and/or a licensee’s Website (if sold by a third party Website)].
      4. “Website” means the set of web pages consultable on the Internet network at the following address: www.mishavalenki.com.
    3. If you desire to change your Order (including the arrangements for delivery or collection), you must contact us within twenty-four hours of submitting your Order, as any changes may delay the delivery of your Order. To cancel your Order or any part, please see ‘Returns’ clause below.
  2. Your Account and Passwords
    1. You must register with us as a customer and agree to the Conditions of Sale prior to submitting a Purchase Order on the Website.
    2. You guarantee that when you register with us as a customer all of the information which you provide is true, accurate and up to date. If any of the information provided changes you must inform us immediately by contacting our online service team enquiries@mishavalenki.com.
    3. You can see and edit any of this information by logging in using your username and password.
    4. You must not impersonate any other person or entity or use a false name or a name which you do not have authority to use. You must not use the Website in any way which will cause or is likely to cause the Website to be impaired, damaged or interrupted in any way.

It is important that you keep your personal details and password confidential and secure, if you have any reason to suspect that your password has become known to someone else, has been or is likely to be used without your authorisation you should contact us immediately. You are responsible for the confidentiality and maintenance of your personal account information and password. You accept responsibility for all activities, which occur under your account and password. MISHA will not be liable to any person for any loss or damage resulting from a failure by you to protect your password or account details.
    6. MISHA reserves the right to refuse or restrict access to the Website, terminate personal accounts, amend and remove content and cancel Orders (at no cost to you). We will not be liable if for any reason MISHA Website is unavailable at any time or for any period.
    7. Your account contains all of your Order history, your delivery details, address book, and e-mail preferences for a period of one calendar year from the date your most recent Order.
    8. We do not store any credit card information online.
  3. Price and Payment
    1. The price of Products applicable to you will be indicated on the Website at the time you submit a Purchase Order. You must pay in full for the Products (including any applicable delivery charges) at the time of placing your Order.
    2. The prices of Products indicated on the Website will be amended from time to time and replace the previous prices.
    3. The price of any Product will be as quoted on our Website in British Pounds from time to time, except in cases of obvious error. These prices include VAT, but exclude delivery costs, which will be added to the total amount. For details of delivery charges, please see our FAQ page.
    4. The price for the goods (including any applicable delivery charges) is as set out in the Order confirmation. The price for the Product includes VAT and any other tax in force in the countries and/or jurisdictions where the customer has directed the product to be shipped. Extra delivery charges may apply for international deliveries.
    5. Ownership in the goods will not pass to you until we have received all sums due and payable by you for or in connection with the goods, including (where applicable) delivery charges and VAT or other tax owed by the purchaser.
    6. You may pay for the Products by selecting your preferred payment instrument from the list of payment instruments listed on the Website and enabled by MISHA on the Website. Payments made through credit cards or with other electronic forms are carried out through a protected link, directly connected to the Bank that is the owner and managing agent of the on-line payment service with which MISHA has an arrangement or on one of the international payment networks (for example, PayPal). MISHA does not come into possession of customer credit card data and may not be held responsible for any of its fraudulent uses.
    7. The Products’ purchase price and delivery expenses will be debited by MISHA from you after you submit a Purchase Order and before Misha submits the Products for shipment to you.
    8. Where, for any reason whatsoever, it is impossible to debit the amount due, the sale process will automatically be terminated, the sale will be cancelled and any sums already debited against the prospected sale will be credited to you again at their face value. You will be informed of that via e-mail.
  4. Conclusion of the Contract
    1. All Orders that you place on this Website will be subject to acceptance in accordance with these Conditions of Sale. By placing an Order, you are confirming that you are of legal age to enter into a Contract and that the information you provide is truthful and correct.
    2. For a Purchase Order on the Website to be legally passed, you must first register for a login name and password on MISHA Website (see section 2.1 above) and provide a valid e-mail address where you can be contacted.
    3. An Order is initiated by a customer making an offer to purchase a product from us. This offer (your "Order" or “Purchase Order”) is completed by following the staged process on the Website, as set out below.
      1. Adding product to your shopping basket.
      2. Checkout step 1 – login details.
      3. Checkout step 2 – address details.
      4. Checkout step 3 – payment details.
    4. Before proceeding with the Order’s dispatch, MISHA suggests that to you:
      1. read again the Purchase Order and correct any errors that have been committed while filling in the Order; and
      2. read, print and maintain a copy of the Conditions of Sale including the sections regarding the right of withdrawal and our Privacy Policy .
    5. Non-acceptance of your Order may be due to any one or more of the following non-exhaustive reasons:
      1. the Product you ordered is out of stock;
      2. your Order is not fully, correctly and accurately filled in;
      3. the Order, as transmitted, is incomplete;
      4. our inability to obtain authorisation for your payment;
      5. we have identified a pricing or product description error;
      6. there is a failure to meet the eligibility to order as set out in this Conditions of Sale;
      7. the Order is submitted from a country which MISHA does not currently ship to;
      8. there is a system or procurement failure; or
      9. your Order details or registration failed customer validation checks.
    6. The Products are available for purchase for so long as they are still visible on the Website and, in any case, as long as they are present in MISHA’s inventory. MISHA reserves the right not to accept Purchase Orders whenever Products are unavailable for any reason whatsoever albeit only temporarily. MISHA will inform you via your registered e-mail that the Purchase Order has not been accepted.
    7. When you place an Order on our Website you will be directed to an automatic acknowledgement page summarising the Product you have ordered. The Automatic Acknowledgement page is not an acceptance by MISHA or confirmation of an Order.
    8. MISHA will acknowledge receipt of each Order through a message sent to your registered e-mail address. The Purchase Order is applicable as your on-line contractual proposal. This email is neither an Order confirmation nor an Order acceptance.
    9. Without prejudice to what is specified otherwise in the Conditions of Sale, it is agreed that every Order’s content is that of separate and severable acts of sale for each specified item, as many as the ordered Products. Therefore, by submitting an Order which includes for several Products, you consent to these Orders being only partially accepted by MISHA (due to the unavailability of some Products or for some other justified reason) and are bound to purchase and pay for the Products concerning the Orders passed. Should MISHA partially carry out an Order, the Order cannot be refused by you nor will it prejudice the right of withdrawal.
    10. Acceptance of your Order and completion of the Contract between you and MISHA will occur when your Order is dispatched by MISHA.
    11. We will email you notifying you that your Order has been dispatched. We reserve the right to dispatch multiple Orders separately.
    12. A gift message facility is available on certain orders and is available for your own personal and strictly non-commercial use. We do not take any responsibility for the contents of messages communicated by you to a third party. Where you use this facility you agree that your message will not include any content that could be construed as defamatory, abusive, obscene, racist, offensive, harassing, threatening, vulgar or which could cause embarrassment or distress to any person. You agree not to impersonate any person, including but not limited to any of our employees or customers.
  5. Delivery
    1. Products will be sent and delivered by means of a carrier and/or a forwarding agent selected by MISHA.
    2. Unless otherwise specified you are responsible for all delivery charges.
    3. The Products will be at your risk from the time of delivery.
    4. Ownership of the Products will only pass to you from the time of delivery.

  6. The Products’ Characteristics and MISHA’s Guarantee
    1. The Products’ main characteristics are indicated on the Website.
    2. All Products comply with the standards and are certified according to what is specified by the European Union’s legislation. MISHA does not answer for any dissimilarities as compared to the standards of Countries that do not belong to the European Union and/or for the lack of Products’ certification in the same countries.
    3. Products purchased from this Website are of satisfactory quality and reasonably fit for all the purposes for which products of the kind are commonly supplied. Subject to any specific warranties offered in relation to specific Products or those implied by law, we do not offer any guarantees or warrantees in relation to the Product(s).
    4. We are only liable for losses you suffer as a result of us breaching these Conditions of Sale, which is strictly limited to the purchase price of the Product you purchased and any losses which are a foreseeable consequence of us breaching these Conditions of Sale . Losses are foreseeable where they could be contemplated by you and us at the time your Order is accepted by us. In any event, we are not responsible for any indirect losses of any nature and howsoever arising (whether loss of income, revenue or otherwise). This does not include or limit in any way our liability for any matter for which it would be unenforceable for us to exclude or attempt to exclude our liability, including but not limited to personal injury or death as a result of negligence and/or fraud.
    5. Should a Product’s compliance defect be reported in time, MISHA will restore that Product to its expected condition at MISHA’s own expense by way of repairing and/or replacing it or by reducing the price, save where the Contract is cancelled if necessary. MISHA reserves the right to replace the non-compliant Products with a Product that has equal or superior characteristics. Alternatively, MISHA may, in its sole discretion, opt to terminate the Contract by returning the entire sum paid and any additional expenses should it be impossible to bring a Product under guarantee back to its pristine condition or to replace it for any reason whatsoever.
    6. In order to be able to benefit from the guarantee contained in clause 6.3 or returned for any other reason listed in these Conditions of Sale, the Product must be received by MISHA with its original packaging with receipts and tags attached (applicable only to Products where tags are attached); the Product must be undamaged, intact and complete with accessories, all of which having never been used and in the same conditions in which you received them.
    7. Unless otherwise agreed you are responsible for all shipping charges for returning the goods. The merchandise must be returned to MISHA at the following address:
    1. You are responsible for all risks associated with the transport of the Products during the return. Risk in relation to Products being returned to us passes from you to us once we acknowledge receipt of the returned Products.

  2. Returns. Rights to Withdraw.
    1. In addition to your right to cancel, you can return unwashed and unworn Products bought in the UK on this Website by mail within 14 days of your shipping date. For details of how to return by post, see our FAQ .
    2. The return of Products following a withdrawal, as permitted in clauses 6 above is permitted by carrying out the following procedure, which is also noted in full on the FAQ. This procedure is in addition to the shipping procedures listed in clauses 6.6 and 6.7. To return of a Product, you must comply with the instructions outlined in Returns in FAQ.
    3. When a Product is returned and the return is unauthorized or otherwise unaccepted because it does not comply with these Conditions of Sale, MISHA will not accept the Products or refund your payment in full. In such circumstances, MISHA will contact you, at the email address provided in your Order, to assess the problem.
    4. Upon MISHA’s receipt of the returned Product, MISHA will inspect the Product to ensure it complies with clauses 6 and 7, if the Product is accepted, MISHA will submit the Order for reimbursement in accordance with clause 7.5 and notify you at your registered email address confirming the same.
    5. If the Products were paid: (a) with a credit card or with a prepaid card, the amount for reimbursement will be credited back to the same card used by you to make the purchase; (b) through PayPal, the amount for reimbursement will be credited back to the same PayPal account used by you to make the purchase; (c) through cash on delivery, the amount for reimbursement will be credited back to the current bank or post office account that you indicated on the return form.
    6. The time required to obtain the actual reimbursement of the price paid to purchase the returned Products depends on the correctness of the data provided to MISHA and on the time taken by the banks that attend to the necessary transactions.
  3. Display of the Website
    1. MISHA reserves the right to suspend the Website’s visibility completely or partially in relation to all the demands connected to its efficiency and security. In these cases, where it is possible and easy and unless special circumstances arise, MISHA will advise you via e-mail.
    2. Our products are unique. If you purchase the same goods under two or more orders, we cannot guarantee that the goods supplied will be from the same batch and be an exact colour match. The images of the Products on our site are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that your computer's display of the colours accurately reflect the colour of the Products. Accordingly, your Product may vary slightly from those images.
    3. We take all reasonable care to ensure that all details, prices, photographic representations and descriptions of products appearing on the Website are correct at the time when the relevant information is entered onto the system. We have made every effort to display as accurately as possible the appearances, colours, textures or finishes of our products that appear on the Website.

  1. Personal Data Processing

The personal data you provide to MISHA as required to register, purchase a Product or update your account is collected and processed by MISHA for the following purpose: (i) to register you and activate the procedures to perform a Contract of sale; (ii) to notify you about your Order; (iii) MISHA’s Products’ and Website updates; (iv) to conduct market research; and (v) to provide you with information that is relevant with regard to the aforementioned points.
    2. Your personal data will only be shared with third parties as necessary to carry out the activities required to perform the Contract.
    3. MISHA is entitled to ask the you for a copy of any documentation which MISHA deems necessary to verify your right to legally enter into a Contract of sale and as necessary to efficiently performance under the Contract.
    4. Failure to provide MISHA with necessary personal data and the required documents will cause MISHA to reject your Purchase Order or, as the case may be, the Contract’s cancellation on the part of MISHA.

  2. Intellectual Property
    1. We are the owner or the licensee of all intellectual property rights, both registered and unregistered, contained on our Website, and in the material published on it. MISHA reserves all intellectual property rights which include MISHA’s rights with respect to copyright, trademarks and other intellectual property rights on the Website, subject to third-party rights.
    2. You are not permitted to use any part of the materials on our Website for commercial purposes without first obtaining a license to do so from MISHA or where applicable, our licensors. We reserve the right to monitor any such usage and take appropriate action against any person who we believe to be contravening our intellectual property rights.

  3. Events Outside Our Control
    1. We will not be liable or responsible for any failure to perform, or any delay in performance of, any of our obligations under the Contract that is caused by events outside our reasonable control (Force Majeure Event).
    2. Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period.

    2. Every dispute regarding the Contract’s application, performance, interpretation and breach is solely governed by the laws of England and Wales, regardless of your location or shipping address. Any contracts for the purchase of Products through our Website and all communications between us will be in the English language.

If any of these Conditions of Sale or any provisions of the Contract is determined to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law

It shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations if MISHA does not insist upon strict performance of any of your obligations under the Conditions of Sale, or if MISHA fail to exercise any of the rights or remedies to which we are entitled under the Contract.
    5. No person other than a party to a Contract, pursuant to these Conditions of Sale, shall have any rights to enforce any term of the Contract.

In such circumstances, your Order shall be governed by the Conditions of Sale which were in force at the time in which this Order was forwarded from you to MISHA. Changing Your Browser Settings to Opt Out

Please follow the steps below to return or exchange the product:

  1. Email enquiries@mishavalenki.com your complete details: your name, address, Purchase Order number, date of purchase and a reason for exchange/ return.
  2. Receive the confirmation email from MISHA with the reference number. Write the reference number in the return and exchange form that you will find with your order.
  3. Complete the return or exchange form.
  4. Repack your item in its original packaging and include your completed form.

You may wish to choose a delivery service that insures your parcel to the value of the goods being sent, always keep a proof of postage as the returned item is your responsibility until it reaches us.
